JOB DESCRIPTION – INTERNAL CONTROL MANAGER

1. GENERAL INFORMATION

Position: Internal Control Manager

Department: Internal Control

Reports to: CEO / Management

Work Location: An Khanh Ward, Ho Chi Minh City, Vietnam (Gần Thảo Điền, Q.2 cũ)

Working Schedule: Monday to Friday, 8:00 AM – 5:00 PM, and Saturday morning

Salary: Negotiable for strong candidates

2. POSITION OVERVIEW

The Internal Control Manager is responsible for developing, maintaining, and monitoring the Company’s internal control system to ensure that financial, accounting, and operational activities are properly controlled, supported by appropriate documentation, transparent, compliant, and managed with an appropriate level of risk.

This position operates independently from the Accounting function and works closely with Accounting, Tax, Import/Export, Sales, Procurement, and other relevant departments.

The Internal Control Manager will have direct access to the CEO / Management and is expected to provide independent recommendations and risk alerts when significant control issues are identified.

3. KEY RESPONSIBILITIES

1. Payment & Approval Control

* Review payment requests before submission to authorized management for approval.

* Verify the completeness, validity, and reasonableness of supporting documents, including Contracts, Purchase Orders, Invoices, Packing Lists, Customs Declarations, Delivery Documents, and other relevant records.

* Reconcile transaction details, supporting documents, and requested payment amounts.

* Identify unusual, unsupported, duplicate, or potentially high-risk expenses and transactions.

* Recommend withholding or suspending payments when documentation or control requirements have not been adequately met.

* Manage and continuously improve the Company’s online approval workflows and authorization matrix.

* Ensure appropriate control points and approval levels are embedded in the approval process.

2. Finance & Accounting Control

* Review accounting processes and key financial controls.

* Review or monitor reconciliations relating to Bank, Accounts Payable, Accounts Receivable, Inventory, and other material accounts.

* Review significant, overdue, or unusual receivable and payable balances.

* Assess the reasonableness of revenue, expenses, accruals, and other material accounting transactions.

* Work closely with the Chief Accountant and Accounting team to investigate discrepancies and strengthen identified control weaknesses.

* Monitor key risks relating to accounting records, taxation, financial documentation, and transaction processing.

3. Import/Export & Operational Control

* Review documentation relating to the Company’s import and export transactions.

* Reconcile the transaction flow across Contract, Invoice, Packing List, Customs Documents, Payment, and accounting records.

* Review product values, freight charges, insurance costs, logistics fees, and other related expenses.

* Ensure consistency among import/export documentation, inventory records, accounting data, and payments.

* Work closely with Import/Export, Procurement, Sales, Accounting, and other functions to identify and address operational risks.

* Recommend practical improvements to processes and control points where necessary.

4. Policies, SOPs & Compliance

* Develop, review, update, and standardize internal policies, procedures, SOPs, and Work Instructions.

* Review key commercial and financial terms in contracts, including pricing, payment terms, delivery conditions, responsibilities, penalties, and other potential business risks.

* Coordinate with Legal, Tax, external consultants, or other specialists where deeper professional review is required.

* Monitor compliance with internal policies, approval authorities, and corporate governance requirements.

* Support the maintenance and continuous improvement of ISO-related requirements or quality management systems where applicable.

5. Risk Review & Management Reporting

* Conduct periodic reviews or risk-based checks on material transactions and key business processes.

* Investigate unusual transactions, control exceptions, process gaps, or other identified risk indicators.

* Analyze root causes and recommend practical corrective actions.

* Monitor the implementation of agreed corrective actions and control improvements.

* Prepare reports on significant control issues, operational risks, and recommended actions for the CEO / Management.

* Provide independent warnings and recommendations when transactions or business practices may expose the Company to financial loss, compliance issues, fraud, or other material risks.

4. AUTHORITY

The Internal Control Manager is authorized to:

* Request relevant departments and employees to provide supporting documents, records, reports, and information required for control reviews.

* Request explanations regarding unusual transactions, discrepancies, or non-compliance with established procedures.

* Recommend withholding or suspending payments where supporting documents are incomplete or material risks are identified.

* Recommend changes to approval workflows, authorization matrices, SOPs, policies, and internal control points.

* Escalate significant control weaknesses, irregularities, or business risks directly to the CEO / Management.

5. CANDIDATE REQUIREMENTS

Education & Experience

* Bachelor’s degree or higher in Accounting, Auditing, Finance, Business Administration, or a related field.

* Minimum 5 years of relevant experience in Internal Control, Finance Control, Risk & Control, Internal Audit, or a related function.

* Experience in Trading, Import/Export, Manufacturing, FMCG, Agriculture, Animal Feed, Logistics, or similar industries is preferred.

* Hands-on experience in developing, reviewing, or improving internal controls, SOPs, policies, or business processes.

* Previous experience working across multiple functions or legal entities is an advantage.

Professional Knowledge

* Strong understanding of Accounting, Finance, and Tax fundamentals.

* Good understanding of key processes including Accounts Payable, Accounts Receivable, Banking, Inventory, Revenue, Cost, and Payment.

* Ability to review commercial contracts, import/export documentation, and payment supporting documents.

* Good understanding of risk assessment, internal control principles, approval authorities, and segregation of duties.

* Experience working with ERP systems and/or online approval workflow systems is an advantage.

* Basic knowledge of ISO or quality management systems is preferred but not mandatory.

English

* Good English communication skills are required, including the ability to work directly with foreign managers.

* Able to read and understand contracts, reports, policies, and professional documents in English.

* Able to discuss control issues, risks, and recommendations with Management and relevant stakeholders in English.

Candidates with a combination of strong financial control knowledge, hands-on operational understanding, and the ability to independently work with Management will be highly preferred.
